Why some changes are mandatory
The Incorporated Societies Act 2022 specifies what must be in a constitution (s 26), adds officer rules, contact person(s), dispute resolution, AGM timing, and other governance standards. The Companies Office Constitution checklist translates those into practical requirements for re‑registration by April 2026.
Required changes are:
- Clause 4.2 – Addition of written consent requirement
- Clause 4.9 – Related to the cessation of a UDF officer
- Clause 4.10 – Related to the handling of complaints
- Clause 4.12 – Addition of an official Contact Person for the society
- Clause 7.3 – Clarification of Officer terms
- Clause 15.1 – Relating to the handling of finances
- Clause 18.5 – Related to the notice period for a SGM
- Clause 21 – Addition of a clause related to dispute resolution
As well as a few minor / cosmetic changes related to the legibility and the structure of the document.
